Terms of sale

These Terms and Conditions of Sale govern every purchase made on nuumwear.com. The site is operated by Korven LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its registered office at 412 N Main St Ste 100, Buffalo, WY 82834. "We", "us" and "our" refer to Korven LLC trading as Nuum. "You" refers to the person placing the order.

By placing an order, you accept these terms in full. Please read them before you buy.

1. Eligibility

You must be at least 18 years old, or the age of majority where you live, and you must use a payment method that belongs to you. Orders are for personal use; we may refuse orders that appear intended for resale.

2. Products

We describe and photograph our products as accurately as we can. Screens reproduce colour differently, so minor variation between the image and the item you receive is normal and is not a defect. Knitted goods also vary slightly from pair to pair.

All products are offered subject to availability. We may change, limit or withdraw any product at any time, and we may limit the quantity sold to one customer or household.

3. Orders and formation of the contract

Your order is an offer to buy. The confirmation email acknowledges that we received it; it does not conclude the sale. The contract is formed when we dispatch the goods, and only for the items actually dispatched.

We may decline or cancel an order where the product is unavailable, where we suspect fraud or abuse, where the delivery address cannot be served, or where a price or description was published in error. If we cancel an order you have already paid for, we refund it in full.

4. Prices and taxes

Prices are displayed in United States dollars and exclude sales tax, which is calculated at checkout where applicable. For deliveries to Canada, import duties, taxes and customs handling fees may be charged on arrival; these are set by the destination country and are payable by the recipient.

We may change prices at any time. The price applicable to your order is the one displayed when you complete checkout.

5. Payment

Payment is taken in full at the time of order. We accept the methods shown at checkout. Payments are processed by Shopify Payments and, where offered, by third-party providers; we never see or store your full card number.

If a payment is reversed or charged back without justification, we reserve the right to suspend future orders and to recover the amount owed.

6. Promotional codes

Discount codes are valid for the period stated, have no cash value, apply to a single order, and cannot be combined with other offers unless expressly stated. We may withdraw a code where we believe it is being used in bad faith.

7. Delivery and transfer of risk

Delivery terms — destinations, costs, processing and transit times — are set out in our Shipping Policy, which forms part of these terms. Delivery estimates are provided by our carriers and are not guaranteed dates.

Title and risk of loss pass to you upon delivery of the goods to the address you provided. Where a parcel is confirmed lost or damaged in transit, we will replace it or refund it, as described in the Shipping Policy.

8. Cancellation and returns

You may cancel an order at no cost as long as it has not been dispatched. Once dispatched, our Refund and Return Policy applies: 30 days from delivery, items unworn, unwashed and in their original packaging. That policy forms part of these terms.

9. Warranties and disclaimers

We warrant that the goods will be free from material defects in materials and workmanship at the time of delivery, and will match their description on the site.

EXCEPT AS EXPRESSLY STATED ABOVE, THE PRODUCTS ARE PROVIDED "AS IS" AND WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW. Some states do not allow the exclusion of implied warranties, so this exclusion may not apply to you.

Normal wear, damage caused by improper care, and failure to follow the care instructions on the product are not covered.

10. Limitation of liability

To the fullest extent permitted by law, Korven LLC shall not be liable for indirect, incidental, special, punitive or consequential damages, including loss of profit, loss of use or loss of data, arising out of the sale or use of the products. Our total liability for any claim shall not exceed the amount you paid for the order concerned.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

11. Indemnification

You agree to indemnify and hold harmless Korven LLC against any claim, loss, liability or expense arising from your breach of these terms.

12. Force majeure

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, strikes, carrier failure, customs action, war or government restrictions.

13. Governing law and disputes

These terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute shall be brought before the state or federal courts located in the State of Wyoming, unless mandatory consumer protection law in your place of residence gives you the right to bring proceedings before your local courts.

Before starting any proceedings, we ask that you contact us at hello@nuumwear.com so we can try to resolve the matter directly. Most issues are settled this way within a few days.

14. General

If any provision of these terms is held invalid, the remaining provisions continue in force. Our failure to enforce a provision is not a waiver of it. You may not assign your rights under these terms without our consent. These terms, together with the Shipping Policy, the Refund and Return Policy and the Privacy Policy, constitute the entire agreement between us.

15. Changes

We may revise these terms. The version applicable to your purchase is the one published when you place your order. The date at the top shows the last revision.
